Step-by-step guide

How to Form an LLC in Arizona

Arizona has a unique publication requirement. Follow each step carefully for compliant formation.

1

Name Your Arizona LLC

The first step is choosing a unique name for your LLC that meets the Arizona Corporation Commission (ACC) requirements. Your LLC name must be distinguishable from all other registered businesses in Arizona.

Arizona LLC Naming Requirements:

  • Must include "Limited Liability Company," "Limited Company," or abbreviations: LLC, L.L.C., LC, or L.C.
  • Cannot include words like "corporation," "incorporated," "association," or their abbreviations
  • Words like "bank," "credit union," or "trust" require prior state approval
  • Must be unique — check availability at the ACC's online search tool or call (602) 542-3230

Reserve Your Name (Optional):

You can reserve your chosen name for 120 days by submitting a Name Reservation Form to the ACC online, by mail, or in person. This ensures no one else can register the same name while you prepare your documents.

DBA / Trade Name in Arizona:

If you want to operate under a different name than your legal LLC name, you can register a "Doing Business As" (DBA) — called a Trade Name in Arizona — through the Arizona Secretary of State's website. The ACC does not handle DBAs.

Brendat tip

Before settling on a name, check for federal trademark conflicts at USPTO.gov. A name that's available in Arizona could still conflict with a registered trademark nationally — which can create legal problems later.
2

Appoint a Statutory Agent in Arizona

Arizona calls this a Statutory Agent — other states use the term "registered agent." The role is the same: a person or company with a physical Arizona address who receives legal documents and official notices on behalf of your LLC.

Arizona Statutory Agent Requirements:

  • Must have a physical street address in Arizona (P.O. boxes not accepted)
  • Must be available during business hours
  • Can be an individual Arizona resident or a business entity authorized in the state
  • Must sign and submit a Statutory Agent Acceptance Form with your Articles of Organization

Brendat serves as your Arizona Statutory Agent

Our Standard and Premium plans include statutory agent service for the first year — so you don't need to find a separate service. We scan and upload all documents to your dashboard instantly.
3

File Arizona Articles of Organization

Filing the Articles of Organization with the Arizona Corporation Commission (ACC) is the step that officially creates your LLC. This document tells the state your LLC's name, address, management structure, and statutory agent details.

Filing Options & Fees:

MethodFeeProcessing
Online (ACC eCorp)$502-3 weeks
Expedited Online$85Faster approval
By Mail / In Person$50Longer — not recommended

What to Include in Your Articles:

  • Your LLC's name
  • Statutory agent's name and address (+ signed Acceptance Form)
  • Business mailing address
  • Management structure: member-managed (owners run it) or manager-managed (designated managers)

Professional LLC (PLLC)?

Doctors, attorneys, engineers, and other licensed professionals forming a PLLC must indicate this on the Articles and confirm compliance with their respective state licensing boards.
4

Create an Arizona Operating Agreement

Arizona does not legally require an operating agreement — but every LLC should have one. It outlines how your LLC is owned, managed, and operated. Without it, disputes between members have no written rules to fall back on, and courts apply Arizona's default LLC rules instead — which may not match what you intended.

What to Include:

  • Ownership percentages and each member's share of profits/losses
  • Management structure — member-managed or manager-managed
  • Decision-making authority — who can sign contracts, manage finances
  • Procedures for adding or removing members
  • Dissolution process — how assets are distributed if the LLC closes

Single-member LLCs need one too

Even if you're the only member, an operating agreement establishes a succession plan if you become incapacitated — and most banks require it to open a business account. Brendat's Standard and Premium plans include a customizable operating agreement template.
5

Get Your EIN (Employer Identification Number)

An EIN is your LLC's federal tax ID — like a Social Security Number for your business. You need it to open a business bank account, hire employees, file taxes, and apply for business licenses.

  • Most LLCs — especially multi-member ones — are required to have an EIN
  • Single-member LLCs without employees can technically use the owner's SSN, but an EIN is strongly recommended for banking and privacy
  • Getting an EIN from the IRS is free — apply online at IRS.gov or by fax/mail
  • Non-US residents cannot apply online — must use IRS Form SS-4 by fax or mail

Brendat gets your EIN for you

Our Standard and Premium plans include EIN filing with the IRS — including for non-US residents who can't use the online system.
6

Meet Arizona's Publication RequirementArizona Only

This step is unique to Arizona— most other states don't require it. After the ACC approves your Articles of Organization, your LLC must publish a notice of formation in an approved Arizona newspaper for three consecutive publications within 60 daysof receiving the ACC's notice.

What the Publication Notice Must Include:

  • Your LLC's name and address
  • Statutory agent's name and address
  • Management structure (member-managed or manager-managed)
  • Names and addresses of managers or members, as applicable

After publication, the newspaper provides an Affidavit of Publication as proof of compliance. Keep this with your LLC documents.

Maricopa and Pima County Exception

If your LLC's known place of business is in Maricopa County (Phoenix) or Pima County (Tucson), you are exempt from the newspaper publication requirement. The ACC publishes your formation notice online instead.

Don't skip this step

Failure to meet the publication requirement can affect your LLC's legal standing in Arizona. Brendat's Premium plan helps you navigate this requirement so nothing slips through the cracks.
7

Obtain Licenses and Permits

Forming an LLC is separate from getting the business licenses and permits your specific business needs to operate legally in Arizona. Requirements vary by industry, city, and county.

Common Arizona Business Licenses:

  • Arizona Transaction Privilege Tax (TPT) License — required if you sell goods or certain services in Arizona. Apply through the Arizona Department of Revenue.
  • City/local business license — many Arizona cities (Phoenix, Tucson, Scottsdale, Mesa) require a local business license separate from the state
  • Professional licenses — required for contractors, healthcare providers, real estate agents, and other regulated professions
  • Federal licenses — required for businesses in agriculture, firearms, aviation, or other federally regulated industries

Not sure which licenses you need?

Brendat's Business License Research service identifies every federal, state, and local license your specific business needs — so you don't miss anything.

How much does it cost to form an LLC in Arizona?
The Arizona state filing fee is $50 for standard processing or $85 for expedited. If you're outside Maricopa or Pima County, add ~$30–$75 for the newspaper publication requirement. Brendat's service fee starts at $0 (Basic) or $149 (Standard, which includes EIN, operating agreement, and statutory agent).
Does Arizona require an annual report for LLCs?
No — Arizona LLCs are not required to file annual reports and pay no annual report fee. This is one of Arizona's biggest advantages over states like California ($800/year minimum franchise tax) or New York ($9 biennial fee).
What is Arizona's publication requirement?
Arizona requires most new LLCs to publish a formation notice in an approved local newspaper for three consecutive publications within 60 days of ACC approval. LLCs in Maricopa County (Phoenix) and Pima County (Tucson) are exempt — the ACC publishes their notice online instead. Brendat's Premium plan helps you navigate this requirement.
How long does Arizona LLC formation take?
Standard online processing with the Arizona Corporation Commission takes approximately 2–3 weeks. Expedited processing ($85 fee) is faster. Brendat submits your filing within 1 business day of your order — total timeline depends on the ACC's current processing queue.
Can non-US residents form an Arizona LLC?
Yes. There is no citizenship or residency requirement to own an Arizona LLC. Non-residents need a statutory agent with an Arizona physical address (Brendat provides this) and must apply for an EIN via IRS Form SS-4 by fax or mail since the online IRS application requires a US Social Security Number.
What is a statutory agent in Arizona?
Arizona uses the term "statutory agent" instead of "registered agent" — but the role is identical. It's a person or company with a physical Arizona street address who receives legal documents and official state correspondence on behalf of your LLC during business hours. Every Arizona LLC must maintain a statutory agent.
