LLC Basics

What Is an LLC?

A Limited Liability Company (LLC) is a legal business structure that separates you the owner from your business. This separation is the foundation of “limited liability”: if your business is sued or owes debts, your personal assets (home, savings, car) are protected.

Unlike corporations, LLCs don't require annual meetings, board resolutions, or complex governance. You simply form the LLC with your state, get an EIN, and you're in business. Profits flow directly to your personal tax return no double taxation.

LLCs are the most popular business structure in the US for small business owners, freelancers, real estate investors, and online entrepreneurs because they offer the best balance of protection, simplicity, and tax flexibility.

LLC vs Sole Proprietorship

A sole proprietorship gives you zero liability protection you and the business are legally the same. One lawsuit can wipe out your personal savings. An LLC creates a legal wall between you and your business. For any serious business, an LLC is the necessary first step.

LLC vs Corporation

Corporations require board meetings, bylaws, officers, and annual minutes significant overhead. LLCs have none of those requirements. Both offer liability protection, but LLCs are simpler to run and avoid double taxation. Most small businesses are better served by an LLC than a corporation.

Single-Member vs Multi-Member LLC

A single-member LLC has one owner and is taxed like a sole proprietorship (pass-through). A multi-member LLC has two or more owners and is taxed like a partnership. Both get the same liability protection the key difference is how taxes and management are structured.

Tax Guide

How Is an LLC Taxed?

LLCs offer more tax flexibility than any other business structure. Here's what you need to know.

Default: Pass-Through Taxation

By default, the IRS treats your LLC as a "disregarded entity" (single-member) or partnership (multi-member). LLC profits flow directly to your personal tax return you pay income tax on your share, the LLC itself pays nothing. This avoids the double taxation that C-corporations face.

S-Corp Election Save on Self-Employment Tax

Once your LLC earns $80,000–$100,000+/year, electing S-Corp tax status can significantly reduce self-employment taxes. You pay yourself a reasonable salary (subject to payroll tax) and take additional profits as distributions (not subject to SE tax). File IRS Form 2553 within 75 days of formation.

State Income Tax

Most states also tax LLC income rates range from 0% (Wyoming, Nevada, Texas, Florida, Alaska) to 13.3% (California). Some states charge flat rates (Kentucky 4%, Arkansas 4.4%) while others use graduated brackets. Your state's rate applies on top of federal income tax.

Brendat is not a law firm and does not provide tax advice. For S-Corp elections, tax planning, and state-specific tax strategy, consult a qualified CPA or tax professional. Brendat handles your LLC formation and compliance your tax advisor handles the rest.

State Selection Guide

Which State Should You Form Your LLC In?

The right answer for most entrepreneurs is simpler than you think.

Form in Your Home State Best for Most People

If you live and operate your business in one state, form your LLC there. It's simpler, cheaper, and avoids paying fees in two states. You'll need to register as a “foreign LLC” in any state where you do business anyway so there's rarely a benefit to forming elsewhere.

Wyoming Best for Non-Residents & Privacy

Wyoming has no income tax, strong asset protection laws, and doesn't require members to be listed publicly. $100 to form, $60/year to maintain. Best for online businesses, holding companies, and non-US residents who don't operate in a specific state.

Delaware Best for Raising Investment

Delaware's court system and corporate law are favored by investors and venture capital firms. $90 to form but $300/year franchise tax. Best for startups planning to raise institutional funding not for typical small businesses.

Cheapest States to Form an LLC

Montana$35 filing + $15/yr
Kentucky$40 filing + $15/yr
Arkansas$45 filing + $150/yr
Mississippi$50 filing + $0/yr
Missouri$50 filing + $0/yr
Colorado$50 filing + $10/yr

Important:Forming in a cheaper state doesn't save you money if you operate in a different state you'll pay that state's foreign LLC fees too. Always factor in the total cost for your actual situation.
