Step-by-step guide

How to Form an LLC in Nevada — 6 Steps

Nevada has one of the fastest LLC formation processes in the US — 1-3 business days. Follow these steps carefully, including the required Business License.

1

Name Your Nevada LLC

The first step is choosing a unique name for your LLC that meets the Nevada Secretary of State requirements. Your LLC name must be distinguishable from all other registered businesses in Nevada.

Nevada LLC Naming Requirements:

  • Must include "Limited Liability Company," "Limited Company," or abbreviations: LLC, L.L.C., LC, or L.C.
  • Cannot include words like "corporation," "incorporated," "association," or their abbreviations
  • Words like "bank," "credit union," or "trust" require prior state approval
  • Must be unique — check availability at the ACC's online search tool or call (602) 542-3230

Reserve Your Name (Optional):

You can reserve your chosen name for 90 days by submitting a Name Reservation Request to the Nevada Secretary of State for a $25 fee. This ensures no one else can register the same name while you prepare your documents.

DBA / Trade Name in Nevada:

If you want to operate under a different name than your legal LLC name, you can register a "Doing Business As" (DBA) in Nevada — through the Nevada Secretary of State's SilverFlume portal.

Brendat tip

Before settling on a name, check for federal trademark conflicts at USPTO.gov. A name that's available in Nevada could still conflict with a registered trademark nationally — which can create legal problems later.
2

Appoint a Registered Agent in Nevada

Nevada requires a Registered Agent with a physical Nevada address who receives legal documents and official notices on behalf of your LLC.

Nevada Registered Agent Requirements:

  • Must have a physical street address in Nevada (P.O. boxes not accepted)
  • Must be available during normal business hours
  • Can be an individual Nevada resident or a licensed commercial registered agent in Nevada
  • Must be available during regular business hours at a Nevada physical address

Brendat serves as your Nevada Registered Agent

Our Standard and Premium plans include registered agent service for the first year — so you don't need to find a separate service. We scan and upload all documents to your dashboard instantly.
3

File Nevada Articles of Organization

Filing the Articles of Organization — plus the Initial List of Managers and State Business License — with the Nevada Secretary of State is the step that officially creates your LLC. This document tells the state your LLC's name, address, management structure, and registered agent details.

Filing Options & Fees:

MethodFeeProcessing Time
Online (SilverFlume)$425 totalSame day
Expedited Online$85Faster approval
By Mail$425 total1–2 weeks

What to Include in Your Articles:

  • Your LLC's name
  • Statutory agent's name and address (+ signed Acceptance Form)
  • Business mailing address
  • Management structure: member-managed (owners run it) or manager-managed (designated managers)

Professional LLC (PLLC)?

Doctors, attorneys, engineers, and other licensed professionals forming a PLLC must indicate this on the Articles and confirm compliance with their respective state licensing boards.
4

Create a Nevada Operating Agreement

Nevada does not legally require an operating agreement — but every LLC should have one. It outlines how your LLC is owned, managed, and operated. Without it, disputes between members have no written rules to fall back on, and courts apply Nevada's default LLC rules instead — which may not match what you intended.

What to Include:

  • Ownership percentages and each member's share of profits/losses
  • Management structure — member-managed or manager-managed
  • Decision-making authority — who can sign contracts, manage finances
  • Procedures for adding or removing members
  • Dissolution process — how assets are distributed if the LLC closes

Single-member LLCs need one too

Even if you're the only member, an operating agreement establishes a succession plan if you become incapacitated — and most banks require it to open a business account. Brendat's Standard and Premium plans include a customizable operating agreement template.
5

Get Your EIN (Employer Identification Number)

An EIN is your LLC's federal tax ID — like a Social Security Number for your business. You need it to open a business bank account, hire employees, file taxes, and apply for business licenses.

  • Most LLCs — especially multi-member ones — are required to have an EIN
  • Single-member LLCs without employees can technically use the owner's SSN, but an EIN is strongly recommended for banking and privacy
  • Getting an EIN from the IRS is free — apply online at IRS.gov or by fax/mail
  • Non-US residents cannot apply online — must use IRS Form SS-4 by fax or mail

Brendat gets your EIN for you

Our Standard and Premium plans include EIN filing with the IRS — including for non-US residents who can't use the online system.
6

Obtain Nevada State Business LicenseIncluded in $425

Nevada requires every LLC to hold a State Business License — the $200 fee is included in the $425 total formation cost. This license must be renewed annually for $200 as part of the $350 annual renewal fee.

What the Publication Notice Must Include:

  • Your LLC's name and address
  • Statutory agent's name and address
  • Management structure (member-managed or manager-managed)
  • Names and addresses of managers or members, as applicable

After publication, the newspaper provides an Affidavit of Publication as proof of compliance. Keep this with your LLC documents.

Don't skip this step

Nevada's business license renewal is due every year by the last day of your LLC's anniversary month. Missing the deadline triggers penalties and can lead to dissolution. Brendat's compliance reminders keep you on track.
7

Obtain Licenses and Permits

Forming an LLC is separate from getting the local licenses and permits your specific business needs to operate legally in Nevada. The state business license is included in your formation cost. Requirements vary by industry, city, and county.

Common Nevada Business Licenses:

  • Nevada Modified Business Tax (MBT) registration — required if you have employees in Nevada. Apply through the Nevada Department of Taxation.
  • City/county business license — Las Vegas, Henderson, Reno, and Clark County each have their own local licensing requirements in addition to the state license
  • Professional licenses — required for contractors, healthcare providers, real estate agents, and other regulated professions
  • Federal licenses — required for businesses in agriculture, firearms, aviation, or other federally regulated industries

Not sure which licenses you need?

Brendat's Business License Research service identifies every federal, state, and local license your specific business needs — so you don't miss anything.
