How to Form an LLC in Utah — 6 Steps

Utah has a simple, straightforward LLC formation process with no publication requirement. Follow these steps to form your Utah LLC correctly.

1

Name Your Utah LLC

The first step is choosing a unique name for your LLC that meets the Utah Division of Corporations requirements. Your LLC name must be distinguishable from all other registered businesses in Utah.

Utah LLC Naming Requirements:

  • Must include "Limited Liability Company," "Limited Company," or abbreviations: LLC, L.L.C., LC, or L.C.
  • Cannot include words like "corporation," "incorporated," "association," or their abbreviations
  • Words like "bank," "credit union," or "trust" require prior state approval
  • Must be unique — check availability at the ACC's online search tool or call (602) 542-3230

Reserve Your Name (Optional):

You can reserve your chosen name for 120 days by submitting a Name Reservation Form to the ACC online, by mail, or in person. This ensures no one else can register the same name while you prepare your documents.

DBA / Trade Name in Utah:

If you want to operate under a different name than your legal LLC name, you can register a "Doing Business As" (DBA) — called a Trade Name in Utah — through the Utah Division of Corporations website.

Brendat tip

Before settling on a name, check for federal trademark conflicts at USPTO.gov. A name that's available in Utah could still conflict with a registered trademark nationally — which can create legal problems later.
2

Appoint a Registered Agent in Utah

Utah requires a Registered Agent with a physical Utah address who receives legal documents and official notices on behalf of your LLC.

Utah Registered Agent Requirements:

  • Must have a physical street address in Utah (P.O. boxes not accepted)
  • Must be available during normal business hours
  • Can be an individual Utah resident or a commercial registered agent service authorized in the state
  • Must be available during regular business hours at a Utah street address

Brendat serves as your Utah Registered Agent

Our Standard and Premium plans include registered agent service for the first year — so you don't need to find a separate service. We scan and upload all documents to your dashboard instantly.
3

File Utah Certificate of Organization

Filing the Certificate of Organization with the Utah Division of Corporations is the step that officially creates your LLC. This document tells the state your LLC's name, address, management structure, and registered agent details.

Filing Options & Fees:

MethodFeeProcessing Time
Online (Utah Division of Corporations)$723–5 business days
Expedited Online$85Faster approval
Expedited Online$75 extra1 business day

What to Include in Your Articles:

  • Your LLC's name
  • Statutory agent's name and address (+ signed Acceptance Form)
  • Business mailing address
  • Management structure: member-managed (owners run it) or manager-managed (designated managers)

Professional LLC (PLLC)?

Doctors, attorneys, engineers, and other licensed professionals forming a PLLC must indicate this on the Articles and confirm compliance with their respective state licensing boards.
4

Create a Utah Operating Agreement

Utah does not legally require an operating agreement — but every LLC should have one. It outlines how your LLC is owned, managed, and operated. Without it, disputes between members have no written rules to fall back on, and courts apply Utah's default LLC rules instead — which may not match what you intended.

What to Include:

  • Ownership percentages and each member's share of profits/losses
  • Management structure — member-managed or manager-managed
  • Decision-making authority — who can sign contracts, manage finances
  • Procedures for adding or removing members
  • Dissolution process — how assets are distributed if the LLC closes

Single-member LLCs need one too

Even if you're the only member, an operating agreement establishes a succession plan if you become incapacitated — and most banks require it to open a business account. Brendat's Standard and Premium plans include a customizable operating agreement template.
5

Get Your EIN (Employer Identification Number)

An EIN is your LLC's federal tax ID — like a Social Security Number for your business. You need it to open a business bank account, hire employees, file taxes, and apply for business licenses.

  • Most LLCs — especially multi-member ones — are required to have an EIN
  • Single-member LLCs without employees can technically use the owner's SSN, but an EIN is strongly recommended for banking and privacy
  • Getting an EIN from the IRS is free — apply online at IRS.gov or by fax/mail
  • Non-US residents cannot apply online — must use IRS Form SS-4 by fax or mail

Brendat gets your EIN for you

Our Standard and Premium plans include EIN filing with the IRS — including for non-US residents who can't use the online system.
6

Obtain Business Licenses & Permits

Utah does not require a publication step — unlike Arizona, your LLC is officially formed once the Certificate of Organization is approved. This saves you time and money.

What the Publication Notice Must Include:

  • Your LLC's name and address
  • Statutory agent's name and address
  • Management structure (member-managed or manager-managed)
  • Names and addresses of managers or members, as applicable

After publication, the newspaper provides an Affidavit of Publication as proof of compliance. Keep this with your LLC documents.

Don't skip this step

Utah has no publication requirement — one less step and one less cost compared to states like Arizona.
7

Obtain Licenses and Permits

Forming an LLC is separate from getting the business licenses and permits your specific business needs to operate legally in Utah. Requirements vary by industry, city, and county.

Common Utah Business Licenses:

  • Utah Sales Tax License — required if you sell taxable goods or services in Utah. Apply through the Utah State Tax Commission.
  • City/local business license — many Utah cities (Salt Lake City, Provo, Ogden) require a local business license separate from the state
  • Professional licenses — required for contractors, healthcare providers, real estate agents, and other regulated professions
  • Federal licenses — required for businesses in agriculture, firearms, aviation, or other federally regulated industries

Not sure which licenses you need?

Brendat's Business License Research service identifies every federal, state, and local license your specific business needs — so you don't miss anything.
